Trovebase Terms & Conditions

Effective Date: April 18, 2025

For the purposes of these Terms & Conditions, the following expressions shall have the meaning detailed below. Capitalized terms are defined when first used.

  • Trovebase: the all‑in‑one marketing operations platform for agencies and in‑house teams—SocialBase, AdBase, Searchable, ProjectBase—accessible via https://trovebase.com.

  • Trovebase Inc.: corporate entity registered in Toronto, Ontario, Canada.
    Contact: admin@trovebase.com.

  • Company: TroveBase, with contact email admin@trovebase.com.

  • Administrator: any professional or agency (e.g., marketing agency owner, in‑house marketing manager) who registers and manages one or more Workspaces in TroveBase

  • Workspace: a client‑specific area in TroveBase containing Users, Campaigns, Projects, Content Calendars, and Automations.

  • User: any individual invited by an Administrator to a Workspace with a defined role (Admin, Editor, Workspace Owner, Client Approver).

  • Subscription Plan: paid TroveBase service tiers (premium and custom), with both tiers having a 14-day free trial.

  • Fair Use Policy: rules governing maximum scheduled posts during trial and thresholds triggering manual review.

  • Affiliate Program: TroveBase’s referral program for influencers, with tiered commission rates.

  • Sub‑processors: Third‑party services and software that Trovebase uses.

  • API Credentials: OAuth tokens grant Trovebase to access Google Ads, Canva, Meta, LinkedIn or Canva.

1. Identification of the Parties

Service Provider: Trovebase Inc., registered in Toronto, ON, Canada.

Administrator: By accepting these Terms, you confirm you are at least 18 years old, have the legal capacity to bind yourself or the entity you represent, and agree to these Terms.

Certain features may be subject to supplemental terms that, in case of conflict, prevail over these Terms.

2. Subject of the Agreement

Trovebase operates on a freemium model: a Free Plan with basic functionality, plus paid Plans unlocking advanced features. The full list of features per Plan is published at https://trovebase.com/pricing.

2.1 Socialbase

Allows the users to manage and publish content to social media:

  • Supported Networks & Post Types:

    • Instagram

    • Facebook

    • LinkedIn

    • TikTok (Planned)

    • X (Planned)

  • Features:

    • Media‑type validation; error alerts on invalid combinations.

    • Hover‑to‑preview with “Tag User” for Instagram only (≤ 20 tags/image).

    • Internal & external approval workflows via email or WhatsApp.

  • Limits & Fair Use:

    • Trial: ≤ 50 scheduled posts/Workspace.

    • Agency & Custom: manual review if > 250 posts/month.

  • Content Calendar and Planning Service.

  • Related Analytics via APIs.

    2.2 Projectbase

    Allow users to manage projects at their agency/business.

    • Kanban/task boards with deadlines, statuses, and assignments.

    • Auto‑nudges, stakeholder updates, and approval stages.

    • File attachments via S3 storage.

    2.3 Adbase

    Allows users to manage Google Search & Display Ads.

    • Multi‑stage Workflow:

      1. Basics: Campaign name, Target URL (http/https validation), enable Search Partners.

      2. Targeting: Location multi‑select; Gender; Age; Language.

      3. Audience & Interests: search bar pulling via Google Ads API.

      4. Keywords: API suggestions, saved lists, negative keywords with match type.

      5. Creatives:

        • Search: 3 headlines, 2 descriptions, live SERP preview, up to 10 ad variants.

        • Display: 2–15 images, 1–10 logos, optional video (≤ 30 s), text limits (headlines ≤ 30 char, long headline ≤ 90 char, descriptions).

      6. Budget & Bidding: daily/monthly budget, bid strategies with optional CPC/CPA/ROAS fields.

      7. Automations: select up to 4 prebuilt “Trovebase Rules” per level or your custom rules; run frequency 1‑7 days.

      8. Summary & Publish.

      9. Related Analytics via APIs.

    2.4 Searchbase

    Allows users to use artificial intelligence to find keyword and content gaps in their SEO strategy.

    • Multi‑stage Workflow:

      1. AI Search: Use of AI to find keyword opportunities and categorize content by priority.

      2. Research: Users can use seed keywords to get keyword ideas and suggestions.

      3. Ckusters: Users can group keywords for use in blogs.

      4. Blogs: Users generate blogs with AI with ability to manage schema, FAQs, word count and tone.

      5. Site Analysis:

        • Audit: Review site for technical SEO score.

        • Backlinks: Perform an analysis on referring sites.

      6. Competitors: Allow users to see and save what keywords their competitor ranks for.

      7. Tracking: Track ranking of keywords on results pages over 6 months,

    2.5 Teams & Integrations

    • User Roles: Admin, Editor, Approver, Workspace Owner with customizable permissions.

    • OAuth Connectors: Google Ads, Facebook, Instagram, LinkedIn and Canva.

    • Cookie Consent: via CookieYes.

    3. Contracting Procedure

    3.1 Registration & Account Setup

    • Languages: English.

    • Click “Sign Up,” enter name, agency name, email, password or use Google SSO.

    • No credit card required for the free trial.

    3.2 Trial & Paid Plans

    • Trial: 14 days of full feature access.

    • Plans: Starter, Premium, Custom.

    • Payment: Stripe; monthly or annual billing; auto‑renew unless canceled.

    3.3 Upgrades & Downgrades

    • Upgrades prorated and effective immediately.

    • Downgrades apply at next renewal; no refunds.

    3.4 Custom Plan

    • Contact Trovebase support to define features and pricing.

    3.5 Billing & Invoices

    • Invoice details editable in Account Settings

    • VAT/GST/Sales Tax applied where required.

    3.6 Account Settings

    • Personal info, password, time zone and notification preferences.

    4. Denial of Access

    Trovebase may deny or suspend access for:

    • False or incomplete registration data.

    • Activities jeopardizing service or other users.

    • Unpaid invoices.

    5. Promotions & Fair Use

    • Trovebase may run promotions at its discretion; non‑cumulative.

    • Fair Use: trial ≤ 50 posts; Premium/Custom review if > 250 posts/month per workspace.

    6. Software License & Restrictions

    6.1 License Grant: revocable, non‑exclusive right to use TroveBase for your internal marketing.

    6.2 Restrictions: no resale, sublicensing, scraping, reverse‑engineering, unauthorized API usage.

    7. User‑Generated Content & Conduct

    • You retain all IP in your Content; you grant Trovebase license to host and process it.

    • Prohibited: illegal, hateful, infringing, spam, or obscene content.

    • Trovebase reserves the right to remove violative content.

    8. Third‑Party API & Service Compliance

    By connecting accounts you agree to each provider’s terms, grant access to the permissions required to deliver our services and consent to Trovebase encrypting and storing your tokens in transit and in rest. OAuth tokens are encrypted and used solely to deliver Trovebase services. Excessive or unauthorized use may result in suspension without refund.

    Access to external services via OAuth is governed by those platforms’ terms:

    • WhatsApp Business Cloud API: Send pre-approved templates, opt‑ins, 24h window.

    • LinkedIn API: Publish posts & pull ad analytics.

    • Meta Graph APIs: Scheduling posts and retrieving analytics.

    • Google Ads API: Campaign management and reporting.

    • Stripe API: Payments processing.

    • Canva Connect API: Import user designs & templates.

    9. Affiliate Program Conditions

    9.1 Definitions: Affiliate, Referred Customer, Cookie Duration (30 days).

    9.2 Commission Rates: 10% (≥ 1 mo retention), 20% (≥ 2 mo), 30% (≥ 3 mo) of first‑month revenue.

    9.3 Accrual: retention milestones met; automatic payout.

    9.4 Modifications: Trovebase may change terms at any time; no notice to customers required.

    10. Sub‑processing & Security

    We implement industry‑standard encryption, access controls, and backups.

    11. Disclaimer & Limitation of Liability

    11.1 Disclaimer: PROVIDED “AS IS,” without warranties.

    11.2 Liability Cap: no indirect or consequential damages; direct damages capped at fees paid in the prior 2 months.

    12. Indemnification

    You agree to indemnify Trovebase Inc. for claims arising from your use, content you supply, or breach of these Terms.

    13. Modifications to Services & Terms

    We may add, remove, or change features or Terms at any time. Material changes notified 15 days in advance; continued use implies acceptance.

    14. Termination & Data Deletion

    14.1 By Trovebase: immediate for non‑payment or material breach.

    14.2 By You: cancel in settings; service continues to period end.

    14.3 Data Retention: retained through cancellation + 2 weeks, then purged.

    15. Governing Law & Dispute Resolution

    • Law: Ontario, Canada.

    • Arbitration: ICC rules in Toronto, English; small‑claims court exceptions apply.

    • Class Action Waiver: applies to all disputes.

    • Arbitration Opt‑Out: Administrators may opt out within 30 days of first use by emailing admin@trovebase.com.

    16. Processing of Personal Data

    16.1 Data Processing as Data Controller

    • We collect and process your personal data (account info, usage, billing) under our Privacy Policy.

    16.2 Data Processing as Data Processor

    By contracting Trovebase, you authorize us to process third‑party personal data (e.g., client approver info, social‑network contacts) on your behalf

    16.2.1 Purpose

    To operate the Services you contracted (approval workflows, analytics, messaging).

    16.2.2 Categories of Data

    • Contacts in connected social networks (profile info, messages)

    • External approver names, emails, WhatsApp numbers

    16.2.3 Duration

    As long as your account is active + 2 weeks post‑termination.

    16.2.4 Obligations of Trovebase as Data Processor

    • Process data only per your instructions and for contracted Services.

    • Confidentiality: ensure staff sign NDA.

    • Record‑keeping: maintain logs of processing categories and sub‑processors.

    • Transfers: obtain your written authorization before transferring data outside the EEA; use Standard Contractual Clauses.

    • Security measures: pseudonymization, encryption, access controls, resilience testing.

    • Incident notification: report breaches within 72 hours with details (nature, categories, proposed remedies).

    • Assist you with data‑subject rights (access, rectification, erasure, portability, objection).

    • Sub‑processor management: flow‑down obligations; remain liable for sub‑processor compliance.

    • On termination: return or delete all personal data; retain one locked backup only for legal obligations.

    16.2.5 Obligations of the Administrator

    • Provide Trovebase only data you are entitled to process.

    • Ensure lawful basis and data‑subject notices.

    • Supervise and audit TroveBase processing.

    16.2.6 Data Processing Agreement

    To request a signed DPA, email rehaan@trovebase.com.

    17. Outsourcing

    Trovebase may subcontract any activities for maintenance, improvement, or provision of Services.

    18. Modification of Services

    Trovebase may modify services for technical evolution, improvements, or legal requirements without affecting core commitments or pricing.

    19. Right of Withdrawal

    EU/UK consumers may withdraw within 14 days of creating an account by emailing rehaan@trovebase.com. Upon valid withdrawal, fees refunded promptly.

    20. Applicable Law & Jurisdiction

    These Terms are governed by Ontario law. Disputes submitted to binding arbitration, except small claims.

    21. Cookie Policy & Tracking

    We use cookies and similar technologies for functionality and analytics. Consent is managed via CookieYes. See our Cookie Policy.

    22. Intellectual & Industrial Property

    All software, trademarks, designs, and content are Trovebase’s or its licensors’. Unauthorized use is prohibited.

    23. Availability

    We strive for 24×7 uptime but do not guarantee error‑free service. Not liable for interruptions due to third‑party API changes, force majeure, or maintenance.

    24. User Support

    Material changes: 15 days’ notice via email or in-app banner; non-material changes effective immediately. Continued use = acceptance.
